1. Acceptance of Terms

By accessing or using Clauzic (the "Service"), provided by Clauzic ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Service.

2. Description of Service

Clauzic provides AI-powered contract analysis. Users can upload or paste contract text, and the Service generates summaries, identifies key terms, and flags potential issues. The Service is intended for informational purposes only and does not constitute legal advice.

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for any activities or actions under your account.

4. Use of the Service

You agree not to misuse the Service. This includes, but is not limited to:

  • Uploading or transmitting malicious code, viruses, or harmful data.
  • Attempting to gain unauthorized access to the Service or its related systems.
  • Using the Service for any illegal or unauthorized purpose.
  • Interfering with or disrupting the integrity or performance of the Service.
  • Using the service to analyze contracts for which you do not have the necessary rights or permissions.

You retain ownership of the contract text you submit. By submitting text, you grant us a limited, non-exclusive, worldwide license to process the text solely for the purpose of providing the analysis Service to you. We do not store your contract text after analysis is complete.

5. Fees and Payment

Certain features of the Service may require payment ("Paid Services"). By selecting a Paid Service, you agree to pay the specified fees. Payments are processed through Stripe, and you agree to their terms and conditions. All fees are non-refundable except as required by law or as explicitly stated by us.

Subscription fees will be billed in advance on a recurring basis (monthly or annually) unless cancelled. You can manage or cancel your subscription through the account settings or the Stripe customer portal.

Usage limits apply based on your subscription plan (Free or Pro). Exceeding these limits may result in restricted access or require upgrading your plan.

6. Disclaimer of Warranties; Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranty that the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

The analysis provided by the Service is for informational purposes only and does not constitute legal advice. We are not a law firm, and use of the Service does not create an attorney-client relationship. You should consult with a qualified legal professional for advice specific to your situation.

In no event shall we, nor our directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

7. Intellectual Property

The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Clauzic and its licensors.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may do so through your account settings.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
